Terms of Service

Welcome to Visual PRD

These Terms of Service ("Terms") are a legally binding agreement between you ("you," "your," or "User") and NoCode100 ("we," "us," "our," or "Visual PRD"), governing your access to and use of the Visual PRD platform, website, mobile applications, MCP server, APIs, and all related services (collectively, the "Service").

Please read these Terms carefully before using our Service. By creating an account, accessing, or using Visual PRD, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Service.

1. Eligibility

You must be at least 16 years old (or the age of majority in your jurisdiction, whichever is higher) to use Visual PRD. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

If you are using Visual PRD on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Account Registration

To use Visual PRD, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your information as needed
• Keep your password secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or security breach

We are not liable for any loss or damage arising from your failure to protect your account credentials. Each individual may only maintain one account.

3. Description of Service

Visual PRD is an AI-powered platform that helps you:

• PRD Generation: Create comprehensive Product Requirements Documents using artificial intelligence
• Design Analysis: Upload screenshots for AI-powered design token extraction
• Visual Canvas: Organize pages, features, flows, and components in an interactive editor
• Chat Modifications: Refine and evolve your PRDs through conversational AI
• Export: Export your work in various formats (Markdown, JSON, ZIP)
• MCP Integration: Connect your projects to AI coding agents (Cursor, Claude Desktop, Windsurf)

You acknowledge that AI-generated content may not always be accurate, complete, or suitable for your needs. You are responsible for reviewing and validating all generated content.

4. Subscription Plans and Pricing

We offer the following subscription tiers:

Each plan includes specific project limits, export allowances, and feature access. Unused allowances do not roll over. We may change pricing with 30 days' notice.

5. Payment Terms

5.1 Payment Methods

We accept payments through Paystack (Nigeria), Stripe (International), and Lemon Squeezy.

5.2 Billing Cycle

Subscriptions are billed monthly (30-day cycles). Your billing cycle begins on the date you subscribe. Each renewal occurs 30 days from your last payment.

If a payment fails, we will attempt to charge your payment method again. Your access may be suspended until payment is successful. You remain responsible for any unpaid amounts.

6. Cancellation Policy

You may cancel your subscription at any time by using the cancellation feature in your account settings or contacting us at hello@nocode100.com.

When you cancel:

• Your subscription will remain active until the end of your current billing period
• You will continue to have access to paid features until your subscription expires
• You will not be charged for subsequent billing periods
• Your account will revert to a limited state after expiration

7. Refund Policy

Refunds are not provided for:

• Unused portions of your subscription period
• Downgrading to a lower-tier plan
• Features you chose not to use
• Dissatisfaction with AI-generated content
• Changes in your circumstances or needs

Exceptional Circumstances

We may, at our sole discretion, provide refunds in exceptional circumstances such as technical issues on our end that prevented you from using the Service, duplicate charges, or billing errors. To request a review, contact us at hello@nocode100.com within 7 days of the charge.

Chargebacks

If you file a chargeback with your bank, your account will be immediately suspended. We reserve the right to terminate your account permanently and take action to recover any funds owed.

8. Your Content

8.1 Ownership

You retain ownership of all content you create, upload, or input into Visual PRD. We do not claim ownership of your PRDs, designs, screenshots, or other materials.

8.2 License to Us

By using Visual PRD, you grant us a limited, non-exclusive, worldwide, royalty-free license to:

• Store your content on our systems
• Process your content through our AI systems to provide the Service
• Display your content to you within the Service
• Create backups of your content
• Share your content with third-party AI providers as necessary to provide the Service

We will not sell your content or use it for advertising without your permission.

8.3 Generated Content

Content generated by our AI systems based on your inputs is owned by you and may be used for any lawful purpose. However, you are responsible for reviewing and validating all generated content before use.

9. AI Processing and Third-Party Services

Visual PRD uses third-party AI providers to generate content. When you use AI features, your content may be processed by:

• Anthropic (Claude models)
• OpenAI (GPT-4 models)
• Google (Gemini models)
• OpenRouter (API gateway)

You acknowledge that:

• AI-generated content may contain errors, inaccuracies, or inappropriate material
• AI outputs may not be unique; similar outputs may be generated for other users
• We do not guarantee the accuracy, quality, or suitability of AI-generated content
• You should not rely solely on AI-generated content for critical decisions

10. MCP Server Integration

MCP (Model Context Protocol) allows you to connect your Visual PRD projects to AI coding agents like Cursor, Claude Desktop, and Windsurf.

• MCP is available on Pro and Unlimited plans
• You must enable MCP for each project individually
• Access is read-only (agents cannot modify your Visual PRD projects)
• Keep your API keys confidential
• We are not responsible for unauthorized access resulting from leaked API keys

11. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Generate illegal, harmful, threatening, abusive, or discriminatory content
• Infringe on intellectual property rights of others
• Upload malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with the Service's operation or security
• Circumvent rate limits or usage restrictions
• Share your account credentials with others
• Impersonate any person or entity
• Use the Service for spam or unsolicited communications

12. Disclaimers

AI DISCLAIMER: AI-generated content may contain errors, inaccuracies, or inappropriate material. You are solely responsible for reviewing, validating, and using generated content at your own risk. We do not guarantee that AI outputs will be accurate, complete, or suitable for your needs.

13. Limitation of Liability

OUR TOTAL LIABILITY to you for all claims shall not exceed the greater of: (a) the amount you paid to us in the 12 months preceding the claim, or (b) one hundred US dollars ($100).

14. Indemnification

You agree to indemnify, defend, and hold harmless NoCode100, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of any third-party rights.

15. Termination

We may suspend or terminate your account at any time, with or without notice, for violation of these Terms, fraudulent activity, non-payment, or any other reason at our discretion.

Upon termination:

• Your right to access the Service ends immediately
• Your data may be deleted after 30 days
• You remain liable for any amounts owed

Before terminating your account, we recommend exporting any data you wish to keep.

16. Dispute Resolution

Before filing any formal dispute, you agree to contact us at hello@nocode100.com to attempt informal resolution. We will try to resolve the dispute within 30 days.

If informal resolution fails, any dispute shall be resolved through binding arbitration in Lagos, Nigeria, under the Arbitration and Mediation Act of Nigeria.

17. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. For any disputes not subject to arbitration, you consent to the exclusive jurisdiction of the courts located in Lagos, Nigeria.

18. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and us
• Severability: If any provision is found unenforceable, the remaining provisions continue in effect
• Waiver: Our failure to enforce any right will not be deemed a waiver
• Assignment: You may not assign these Terms without our consent
• Force Majeure: We are not liable for failures due to circumstances beyond our control

19. Changes to These Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website, updating the "Last Updated" date, and sending an email notification for significant changes. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
